Terms of Service (ArtistsUpNext)

These Terms of Service (“Terms”) govern your access to and use of the ArtistsUpNext websites, forms, software, dashboards, distribution services, and any related products or services (collectively, the “Services”) provided by ArtistsUpNext (“ArtistsUpNext,” “we,” “us,” “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you are using the Services on behalf of an entity, you represent you have authority to bind that entity to these Terms.

3) Our Services (What We Do)

ArtistsUpNext provides services that may include:

Music distribution to digital platforms (e.g., streaming stores and DSPs), subject to platform acceptance

Artist onboarding, profile setup, metadata support, and release preparation

Optional creator services (marketing guidance, content direction, consulting, templates, etc.) depending on your plan

Important: We are a service provider and distributor, not your label unless we separately sign a written label agreement.

4) Account Registration and Security

You may need to create an account or submit forms. You agree to provide accurate information and keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account.

We may suspend or terminate access if we suspect unauthorized use, fraud, or policy violations.

5) User Content, Music, and Distribution Rights

A) Your Content

“Content” includes audio recordings, compositions, artwork, images, videos, artist names, likenesses, bios, metadata, lyrics, and any materials you submit or make available through the Services.

You retain ownership of your Content, subject to the permissions you grant below.

B) Your Representations (You Promise This Is True)

By submitting Content, you represent and warrant that:

You own or control all necessary rights (including master rights, composition/publishing rights, artwork, samples, features, producer agreements, and permissions), or you have written permission from the rights holders.

Your Content does not infringe or violate any third-party rights (copyright, trademark, publicity, privacy, etc.).

Your Content does not contain unlawful material, malware, or deceptive metadata.

You have obtained all required licenses and approvals (including mechanical licenses where applicable, and proper splits/permissions).

If you don’t have the rights, do not upload the Content.

C) License You Grant to ArtistsUpNext

To provide the Services, you grant ArtistsUpNext a worldwide, non-exclusive, royalty-free license to:

host, store, format, encode, and deliver your Content

distribute and make your Content available to digital platforms

use your artist name, artwork, and metadata for distribution, identification, and promotion of the release (including for store pages and marketing of the release itself)

This license lasts as long as needed to provide the Services and to maintain distribution on platforms, and ends when your Content is fully removed from distribution (subject to platform processing times, caching, and legal obligations).

D) Platform Rules Apply

Streaming platforms and stores can reject, remove, or restrict Content for any reason under their rules. We do not guarantee acceptance, placement, playlisting, editorial coverage, or continued availability on any platform.

6) Prohibited Uses

You agree you will not:

upload Content you don’t own or control

use fake names, misleading metadata, manipulated streams, bots, or fraudulent marketing

infringe copyrights/trademarks or violate publicity/privacy rights

distribute hate content, unlawful material, or content that violates platform policies

attempt to hack, disrupt, or reverse engineer any part of the Services

use the Services for spam or abusive behavior

We may remove Content, suspend accounts, and/or terminate Services for violations.

7) Payments, Fees, and Billing

If you purchase a paid plan or services:

You agree to pay all fees disclosed at checkout or in your agreement.

Fees may be recurring (subscription) or one-time.

You authorize us (and our payment processors) to charge your payment method.

Taxes may apply and are your responsibility unless otherwise stated.

No chargebacks: If you believe a charge is incorrect, contact support first. Unresolved chargebacks may result in suspension/termination and removal of Content from distribution.

Price changes: We may change pricing or plan features with reasonable notice where required.

8) Royalties, Revenue, and Payouts (Important)

If your plan includes royalty collection/payout services (or we facilitate payouts):

Reporting delays are normal. Stores often report earnings weeks/months later.

No guarantee of revenue. Streams/sales depend on the market and listeners.

Deductions/withholding may apply for refunds, chargebacks, taxes, platform adjustments, fraud investigations, or administrative fees (if disclosed).

You are responsible for split payments to collaborators unless you have a separate written split/payments arrangement with us.

Unless you have a signed written agreement stating otherwise, ArtistsUpNext is not responsible for disputes between collaborators, labels, publishers, or rights holders.

9) Takedowns, Removals, and Termination

A) Your Requests

You may request to remove Content from distribution. Removal is not always instant and depends on platform processing times. Some platforms may cache content or keep residual pages temporarily.

B) Our Rights

We may suspend or terminate your access or remove Content:

for legal compliance

if platforms require it

for suspected infringement or fraud

for violations of these Terms

to protect ArtistsUpNext, users, partners, or the public

We are not liable for removals made by platforms.

10) DMCA / Copyright Complaints

If you believe Content distributed via our Services infringes copyright, send a notice to [email protected] with:

identification of the work claimed infringed

identification of the allegedly infringing material (links/screenshots)

your contact info

a statement of good-faith belief

a statement under penalty of perjury that the info is accurate and you’re authorized

your physical or electronic signature

We may remove or disable access to allegedly infringing material.

11) Disclaimers (Very Important)

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE MAKE NO WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT GUARANTEE PLATFORM ACCEPTANCE, STREAM COUNTS, PLACEMENTS, PLAYLISTS, SALES, OR INCOME.

PLATFORM POLICIES AND ALGORITHMS CHANGE. WE ARE NOT RESPONSIBLE FOR THIRD-PARTY PLATFORM DECISIONS.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ARTISTSUPNEXT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO ARTISTSUPNEXT FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING), WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13) Indemnification (You Protect Us If You Upload Something Illegal)

You agree to defend, indemnify, and hold harmless ArtistsUpNext and its owners, employees, contractors, and partners from any claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising from:

your Content or distribution of your Content

your breach of these Terms

your violation of any law or third-party rights

disputes regarding ownership, splits, samples, artwork, or permissions

14) Privacy

Your use of the Services is also governed by our Privacy Policy (posted on our website). By using the Services, you consent to the collection and use of information as described there.

15) Communications, Email, and SMS

You agree we may contact you about your account and Services via email, phone, or SMS where permitted. You can opt out of marketing messages. Standard message/data rates may apply.

16) Changes to Services and Terms

We may update these Terms from time to time. If you continue using the Services after changes are posted, you agree to the updated Terms. If changes are material, we may provide additional notice where required.

We may modify, suspend, or discontinue any part of the Services at any time.

17) Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

You agree that any dispute will be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction there.

18) Arbitration - will be decided mutually between two parties

19) Severability

If any provision is found unenforceable, the remaining provisions remain in full force.

20) Entire Agreement

These Terms, along with any written agreements you sign with ArtistsUpNext and our Privacy Policy, constitute the entire agreement between you and ArtistsUpNext regarding the Services and supersede prior discussions.

21) Additional Terms for Distribution Partners

Certain third-party platforms may require additional terms, policies, or rules. You agree to comply with those platform requirements as a condition of distribution. Where there is a conflict, platform requirements may control for platform-specific issues.
